On a basic level, your issues may be handled through a simple partnership agreement. On a preferred level, I would like to see your business retain all rights to the technology and create a separate sales and manufacturing company that is jointly owned by both you and the manufacturer. Ideally the technology company would grant an exclusive license to the jointly owned sales and manufacturing. This preferred option is more expensive, but guarantees a heightened level of safety for your company.
On a second preferred level, we could create a royalty agreement between you and the manufacturer. The complexity of the royalty agreement will likely be tied to the strength of your existing/potential customers. The royalty agreement may include the least entanglements and turn out to be the least expensive. Additionally, I would like to see some IP protection around the device. Only the royalty agreement is included in my estimate.
