Licensing agreement for [Redacted] for iPad

I’m creating an interactive electronic [Redacted] for the iPad. The working project name for the reader is [Redacted]. It is both a software library and a standalone application. I foresee it being used to [Redacted]. I would like agreements to cover the following scenarios: Licensing the platform library for use in the client’s application on a per app basis. I maintain ownership of [Redacted] they do not get source code nor the right to use it in more than one application. Along with this the client may need technical support or custom development. That work will be done and charged on an hourly basis. Any content they provide is theirs. All other code and materials developed during consulting is dual ownership which I can reuse to extend the platform as I see fit. My licensing someone else’s content. In this case I would license content to sell through my version of the reader. Proceeds from the sale would be split by an agreed upon percentage. Other party retains the ownership to their content I get the perpetual right to publish and sell that content on my platform. Including the right to modify content as necessary to better work with the platform. Client should affirm they have the digital/media rights to the content. A combination of the two. For example a client has a [Redacted] they want to publish to the iPad with minimal upfront costs. They want their own app, with their own name and logo which they will manage. I want their content so I can make it available on my app. I will license their content on a rev share basis. They will license my library also on a rev share basis.
